RAYSolute Consultants is an education consulting firm established in 2023, providing the following services:

  • Affiliation Consulting: CBSE, ICSE, IB, Cambridge (CAIE) affiliation and compliance support

  • EdTech Advisory: Go-to-market strategy, integration architecture, operational consulting
  • GEO for Education: Generative Engine Optimization to improve visibility in AI-powered search platforms

The Website provides informational content about our services, industry insights, resources, and contact facilities. The Website does not provide educational services directly to students.

4. Eligibility

6. Consulting Services Agreement

Professional consulting engagements are governed by separate Service Agreements executed between RAYSolute Consultants and the Client. These Terms apply to your use of the Website and general interactions with our firm. In case of conflict between these Terms and a signed Service Agreement, the Service Agreement shall prevail.

6.1 Engagement Process

Consulting engagements typically follow this process:

  1. Initial consultation and scope discussion
  2. Proposal submission with detailed scope, deliverables, timeline, and fees
  3. Execution of Service Agreement upon mutual acceptance
  4. Advance payment as per agreed terms
  5. Project execution and delivery
  6. Final payment and project closure

6.2 Client Obligations

Clients engaging our consulting services agree to:

  • Provide timely access to relevant information, documents, and personnel
  • Make decisions and provide approvals within agreed timeframes
  • Make payments as per the agreed schedule
  • Maintain confidentiality of proprietary methodologies shared during the engagement
  • Not engage our consultants for competing projects during the engagement period without prior consent

7. Payment Terms

For consulting services, the following payment terms apply unless otherwise specified in the Service Agreement:

  • Currency: All fees are quoted and payable in Indian Rupees (INR) unless otherwise specified
  • Advance Payment: A minimum of 50% advance payment is typically required before project commencement
  • GST: All fees are exclusive of Goods and Services Tax (GST) at applicable rates (currently 18% for consulting services)
  • Payment Methods: Bank transfer (NEFT/RTGS/IMPS), UPI, or cheque
  • Payment Timeline: Invoices are payable within 15 days of invoice date unless otherwise agreed
  • Late Payment: Overdue amounts may attract interest at 1.5% per month

7.1 Refund Policy

Refunds are handled on a case-by-case basis:

  • If we are unable to commence work due to our fault, a full refund of advance payments will be provided
  • If the Client cancels after work has commenced, fees will be charged proportionate to work completed
  • Refunds, if applicable, will be processed within 30 business days

This refund policy is in compliance with the Consumer Protection Act, 2019, and the Consumer Protection (E-Commerce) Rules, 2020.

8. Intellectual Property Rights

8.1 Our Intellectual Property

All content on this Website, including but not limited to text, graphics, logos, images, audio clips, digital downloads, data compilations, software, reports, frameworks, and methodologies, is the exclusive property of RAYSolute Consultants or its licensors and is protected by Indian copyright, trademark, and other intellectual property laws.

The RAYSolute name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of RAYSolute Consultants. You may not use such marks without our prior written permission.

8.2 License Grant

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Website for personal, non-commercial purposes, subject to these Terms. This license does not include:

  • Underlying methodologies, frameworks, templates, and tools remain our intellectual property
  • We reserve the right to use anonymized learnings for future engagements and thought leadership

9. Data Protection & Privacy

We are committed to protecting your personal data in compliance with applicable Indian laws, including:

  • Digital Personal Data Protection Act, 2023 (DPDP Act)
  • Information Technology Act, 2000 (IT Act)
  • Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011 (SPDI Rules)

  • Implement appropriate safeguards to protect Client information
  • Return or destroy Client confidential information upon project completion (unless legally required to retain)

10.2 Exceptions

Confidentiality obligations do not apply to information that:

  • Is or becomes publicly available through no fault of the receiving party
  • Was already known to the receiving party prior to disclosure
  • Is independently developed without use of confidential information
  • Is required to be disclosed by law, regulation, or court order

Any dispute, controversy, or claim arising out of or relating to these Terms, including their breach, termination, or invalidity, that cannot be resolved through mediation shall be settled by arbitration in accordance with the Arbitration and Conciliation Act, 1996 (as amended).

  • Seat of Arbitration: Bengaluru, Karnataka, India
  • Language: English
  • Number of Arbitrators: One (1), mutually appointed or appointed by the Karnataka High Court
  • Arbitration Rules: The Arbitration and Conciliation Act, 1996

The arbitrator's award shall be final and binding on both parties.

16.3 Consumer Disputes

Nothing in this section shall limit your rights to file complaints with Consumer Disputes Redressal Forums under the Consumer Protection Act, 2019.

17. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

Subject to the arbitration provisions above, the courts of Bengaluru, Karnataka, India shall have exclusive jurisdiction over any disputes arising from these Terms.

These Terms are subject to and shall be interpreted in accordance with:

  • The Indian Contract Act, 1872
  • The Information Technology Act, 2000
  • The Digital Personal Data Protection Act, 2023
  • The Consumer Protection Act, 2019
  • The Arbitration and Conciliation Act, 1996

18. Changes to Terms

18.1 Notification of Changes
